These Terms of Service govern your use of the GemVault Ceylon platform. Please read them carefully before using our services. If you have questions, contact us at info@gemvaultceylon.com.

1.

Acceptance of Terms

  • By accessing or using GemVault Ceylon, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please discontinue use of the platform.
  • These Terms apply to all visitors, buyers, sellers, and any other users of the platform.
2.

Platform Overview

  • GemVault Ceylon is an online marketplace connecting gemstone buyers and sellers worldwide.
  • The platform primarily functions as a listing and communication platform that enables users to discover, advertise, and communicate regarding gemstones and related services.
  • In certain cases, and subject to separate agreement or approval, GemVault Ceylon may assist with transaction coordination, payment facilitation, shipping arrangements, verification assistance, or related support services. Unless explicitly stated otherwise in writing, contracts for the sale and purchase of gemstones remain solely between the buyer and seller.
  • GemVault Ceylon does not guarantee the successful completion of transactions or the conduct, authenticity, legality, quality, certification, or performance of any user, gemstone, or third-party service provider.
  • We reserve the right to modify, suspend, or discontinue any feature of the platform at any time with reasonable notice.
3.

User Accounts

  • You must be at least 18 years old to create an account. By registering, you confirm that you meet this requirement.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
  • We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or provide false information.
4.

Seller Obligations

  • Sellers must be licensed gem dealers or individuals with legal authority to sell the listed gemstones.
  • All listings must be accurate. Misrepresenting gem quality, weight, origin, treatment status, certification, or ownership is strictly prohibited and may result in permanent removal from the platform.
  • Sellers are solely responsible for the accuracy and legitimacy of certification documents, descriptions, images, and other information attached to their listings.
  • Sellers are responsible for honouring agreements made directly with buyers and for delivering gemstones as described.
  • Sellers agree to comply with all applicable laws, export regulations, customs requirements, and tax obligations related to gemstone sales and shipment.
  • Where applicable, sellers agree to pay any platform fees, commissions, listing fees, or service charges communicated by GemVault Ceylon.
5.

Buyer Obligations

  • Buyers agree to provide accurate contact, billing, and shipping information where applicable.
  • Buyers are solely responsible for conducting their own due diligence before entering into any transaction, including verifying gemstone authenticity, certifications, seller credibility, pricing, and physical inspection where necessary.
  • Buyers acknowledge that gemstone images may vary slightly from the physical stone due to photography conditions, lighting, and screen calibration.
  • Buyers are responsible for understanding and complying with import regulations, customs duties, taxes, and restrictions applicable in their country.
6.

Optional Facilitation Services

  • GemVault Ceylon may, at its sole discretion, offer optional services including payment coordination, shipping assistance, gemstone verification support, communication facilitation, sourcing assistance, or other transaction-related services.
  • Such services are provided on a best-effort basis unless otherwise agreed in writing.
  • GemVault Ceylon does not guarantee: successful completion of transactions, payment recovery, shipping delivery times, customs clearance, gemstone valuation, certification accuracy, or the conduct of buyers, sellers, or third parties.
  • Any verification, opinion, recommendation, or assistance provided by GemVault Ceylon regarding gemstones shall be considered informational only and shall not constitute a guarantee, certification, appraisal, or warranty unless expressly stated in writing.
  • Additional terms, conditions, fees, or verification requirements may apply to facilitated services.
7.

Prohibited Conduct

  • List stolen, conflict, counterfeit, or illegally obtained gemstones.
  • Manipulate reviews, ratings, or seller metrics.
  • Use the platform for fraudulent, deceptive, or illegal financial activity, including money laundering.
  • Scrape, copy, reverse-engineer, or automate data extraction from any part of the platform.
  • Harass, threaten, abuse, or discriminate against other users.
  • Misrepresent gemstone specifications, ownership, certifications, or transaction details.
  • Use the platform in violation of applicable local or international laws.
8.

Intellectual Property

  • All platform content, branding, logos, software, designs, and technology are the property of GemVault Ceylon and may not be reproduced, copied, or used without prior written permission.
  • Sellers retain ownership of their listing content, including images and descriptions, but grant GemVault Ceylon a non-exclusive, worldwide licence to display, reproduce, market, and promote such content on the platform and related marketing materials.
9.

Limitation of Liability

  • GemVault Ceylon provides an online platform connecting buyers and sellers and may optionally provide limited facilitation services under certain conditions.
  • To the fullest extent permitted by law, GemVault Ceylon shall not be liable for: disputes between buyers and sellers, gemstone authenticity issues, certification inaccuracies, pricing disagreements, shipping delays or losses, customs seizures, third-party fraud, payment disputes, or any indirect, incidental, special, or consequential damages arising from platform use.
  • Where GemVault Ceylon provides optional facilitation services, our liability shall be limited to the amount of service fees paid directly to us for the specific service giving rise to the claim.
  • Risk of loss, damage, delay, seizure, or customs-related issues during shipment remains with the buyer and/or seller unless otherwise agreed in writing.
  • Our total liability to you for any claim shall not exceed the total fees paid by you to GemVault Ceylon during the 12 months preceding the claim.
10.

No Agency Relationship

  • Nothing in these Terms shall create any partnership, agency, employment, joint venture, fiduciary, or representative relationship between GemVault Ceylon and any buyer, seller, or user of the platform.
11.

Dispute Resolution

  • In the event of a dispute between a buyer and seller, the parties should first attempt to resolve the matter directly.
  • If direct resolution fails, either party may request mediation assistance from GemVault Ceylon within 30 days of the relevant transaction or dispute.
  • GemVault Ceylon reserves the right, but not the obligation, to assist in dispute mediation.
  • These Terms shall be governed by the laws of Sri Lanka.
  • Any unresolved disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Colombo.
12.

Changes to Terms

  • We may update these Terms of Service from time to time.
  • Significant changes will be communicated via email or platform notification at least 14 days before the updated Terms become effective.
  • Continued use of the platform after the effective date of revised Terms constitutes acceptance of the updated Terms.
